If Mathematica detects MacTCP (i.e., assumes a TCP/IP network is present), it looks for other copies of itself running on the network. An understandable precaution, but annoying when you use PPP via a phoneline. You can either live with killing the dialup process twice (Mathematica will run) or use the ExtensionManager to disable all MacTCP related stuff.
