I do not have a solution but am  facing a similar problem.. I am 
using Mma 2.2 and Excel 5.0 under Windows 95 and the error message is 
similar :	"[MATHLINK.XLA]MATHLINK!B40"

I sent a mail to wolfram research asking for help and they answered:

I  did just the above but without succes!
